We have set of applications developed in .Net Framework 2.0 (both Windows and Web Applications) running in Windows 2003 Server. Now management decided to upgrade it to Windows 2008 Server. Any changes required in Application side?. If not, those applications work with full potential of windows 2008 server ?

Unless and until you're into using new technologies and you perfer choosing technologies on the basis of trends rather than the domain of the project, you need no change.
There are many new changes that you will prefer adapting in the future, but just because they are there doesn't mean what has to change a working application.

Some good things are AppFabric (not a part of window but is available free and now out of beta phase) , Ribbon based UI's ideal for making dashboards and plenty more. But I don't think you will need any change besides deciding 64 bit or 32 bit compilation if applicable.

But in any case even if 32 bit app and your server is 64 bit , it's still capable of running in WOW
