Intellectual property on visual studio extension, who owns it?

I am planning on developing a Visual Studio Extension and am trying to get backing, however the backer thinks that the IP will not belong to me as it is a product "plug in" can anyone verify this (and if possible point me to some legal document that clarifies this either way)

What I have tried:

Searched all over web on Google etc, can't find anything to clarify this issue.

I looked up extension and found one that said free trial. So at some point they have the right to sell it. Maybe they can tell you more. https://marketplace.visualstudio.com/items?itemName=WholeTomatoSoftware.VisualAssist

Basically you do own the IP to the extension but not Visual Studio itself and backers won't back you unless you own the lot. Hope this helps others.

That sounds like absolute nonsense. Would the backer refuse to back you to write an application for Windows because you don't own the IP of the operating system? What about the IP of the hardware you're running on - do they expect you to own that as well?

Either your legal adviser is an idiot, or your backer is.
